Important
The 36-month introduction clause
When Celero introduces a developer to an investor (or vice versa), that introduction is recorded. If a transaction closes between those two parties within 36 months of the introduction — even if not facilitated directly through the Celero platform — the 2.5% success fee still applies.
This protects the integrity of the marketplace and ensures Celero is fairly compensated for creating the connection. Both developers and investors acknowledge this clause before accessing deal flow.
Common questions
When exactly is the success fee charged?
At financial close of the transaction — not at letter of intent, not at NDA signing. You pay nothing until a deal completes.
What counts as a "transaction"?
Any equity sale, debt financing, EPC contract, or asset acquisition facilitated by or traceable to a Celero introduction.
Is the retainer refundable?
The retainer is non-refundable but is credited in full against the success fee if and when the deal closes, so it is never lost money on a successful transaction.
Are there any fees for investors?
No. Investors register, browse projects, and request NDA access entirely free of charge. Celero's fee model is funded by the transaction success fee on the developer side.
What if I already know the investor and don't need Celero to introduce them?
The 36-month clause applies to Celero-introduced parties only. If you close with an investor Celero never introduced, no fee applies.
